Terms of Service
Welcome to Nutré Elite. These Terms of Service govern your access to and use of the Nutré Elite affiliate program, website, and related services. By accessing our platform, you agree to uphold these community standards and legal guidelines.
Nutré Elite Agreement
1. Introduction & Acceptance of Terms
Welcome to Nutré Elite, an affiliate community and partnership program operated by Nutré Meals, LLC ("Nutré," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Nutré Elite website located at nutreelite.com and go.nutreelite.com (collectively, the "Site"), as well as any related services, content, applications, and the Nutré Elite affiliate program itself (collectively, the "Service").
By accessing or using the Service, by submitting an application to Nutré Elite, or by becoming a member of Nutré Elite, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
You must be at least 18 years of age to use the Service or apply for membership in Nutré Elite.
2. About Nutré Elite
Nutré Elite is a membership-based affiliate community for health and fitness professionals, creators, and enthusiasts. Approved members receive access to a unique discount code and trackable affiliate link to share Nutré Meals products with their audience. Members earn commissions on qualifying sales generated through their code or link, in accordance with the commission structure described in the Affiliate Agreement provided to approved members.
Nutré Elite is not a business opportunity, "get rich quick" program, multi-level marketing scheme, or money-making system. While we provide training, resources, and support to help members succeed, we do not guarantee any specific level of income or results. See Section 8 (Earnings Disclaimer) for important details.
3. Application & Membership
3.1 Application Process
Membership in Nutré Elite is by application only. Submitting an application does not guarantee acceptance. Nutré reserves the sole and exclusive right to accept or decline any application for any reason or no reason, and to revoke membership at any time in accordance with the Affiliate Agreement.
3.2 Eligibility
To be eligible for membership, you must:
- Be at least 18 years of age
- Have an active and engaged audience in the health, fitness, wellness, or related categories
- Be located in the United States and have an audience primarily within Nutré's delivery zones
- Comply with all applicable laws and regulations
- Agree to all terms outlined in the Affiliate Agreement provided upon approval
3.3 Monthly Access
Approved Nutré Elite members are required to maintain a monthly access subscription, which includes a monthly food credit usable toward Nutré Meals products. Specific pricing, credit values, and access terms are outlined in the Affiliate Agreement and may be updated from time to time with notice to members.
3.4 Termination
Membership may be terminated by either party at any time in accordance with the Affiliate Agreement. Upon termination, your access to the affiliate platform, discount codes, and member resources will be deactivated. Earned but unpaid commissions will be paid in accordance with the Affiliate Agreement's payment schedule.
4. Account Registration & Security
To use certain features of the Service, you may be required to create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorized access or use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that we determine, in our sole discretion, have violated these Terms or pose a risk to the Service or other users.
5. User Conduct & Prohibited Activities
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Misrepresent yourself, your affiliation with Nutré, or the Nutré brand
- Make false, misleading, or unsubstantiated claims about Nutré Meals products, ingredients, health benefits, or earnings potential
- Use Nutré's name, logo, or intellectual property except as expressly authorized in the Affiliate Agreement
- Engage in spam, fraudulent activity, or deceptive marketing practices
- Bid on Nutré-branded keywords in paid search advertising without express written permission
- Promote competing meal delivery brands while an active Nutré Elite member
- Attempt to circumvent the affiliate tracking system to claim commissions on ineligible sales
- Use the Service in any way that could damage, disable, overburden, or impair the Site
- Attempt to gain unauthorized access to any part of the Service or its related systems
Violation of these conduct rules may result in immediate termination of membership and forfeiture of unpaid commissions.
6. Intellectual Property
6.1 Nutré Property
All content on the Site, including but not limited to text, graphics, logos, images, videos, and software, is the property of Nutré Meals, LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right or license to use Nutré's intellectual property except as expressly stated.
6.2 Limited License for Affiliates
Approved Nutré Elite members receive a limited, non-exclusive, revocable license to use Nutré-provided creative assets, branded content, and approved marketing materials solely for the purpose of promoting Nutré Meals products through the Elite affiliate program. This license terminates immediately upon termination of membership.
6.3 Member-Generated Content
By submitting content (testimonials, photos, videos, social posts, etc.) to or about Nutré Elite, you grant Nutré a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and distribute such content for marketing, promotional, and operational purposes.
7. Payment Terms
7.1 Monthly Access Fees
Member access fees are billed monthly in advance and are non-refundable except as required by law or as expressly stated in the Affiliate Agreement.
7.2 Commission Payments
Commissions on qualifying sales are calculated and paid according to the schedule outlined in the Affiliate Agreement. Members are responsible for providing accurate payment information and reporting earnings as required by applicable tax laws.
7.3 Tax Responsibility
Members are independent contractors, not employees of Nutré. Members are solely responsible for their own taxes, including income tax, self-employment tax, and any applicable state or local taxes on earned commissions. Nutré will issue Form 1099-NEC to members earning $600 or more in a calendar year as required by law.
8. Earnings Disclaimer
Income examples and testimonials shared on the Site or in promotional materials reflect the experiences of specific members and are not typical results. Actual earnings vary significantly based on:
- Individual effort and consistency
- Audience size, engagement, and demographics
- Skill in marketing and promotion
- Market conditions
- Other factors outside of Nutré's control
Nutré makes no guarantee of any specific level of income. Many members do not earn significant income. Some members may earn nothing at all. References to "$1,000+ per month" or similar earnings figures reflect the experience of top-performing members and are not representative of typical earnings.
You should not join Nutré Elite expecting any specific financial outcome. Like any business endeavor, success depends primarily on your own work, skills, and circumstances.
9. Disclaimers & Limitation of Liability
9.1 Service Provided "As Is"
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Nutré disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
9.2 No Guarantees
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We make no guarantees regarding earnings, business results, or outcomes from membership in Nutré Elite.
9.3 Limitation of Liability
To the fullest extent permitted by law, Nutré, its officers, directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising from or related to your use of the Service.
In no event shall Nutré's total liability to you for all claims exceed the amount you have paid to Nutré in monthly access fees in the twelve (12) months immediately preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Nutré Meals, LLC and its officers, directors, employees, contractors, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any law or third-party right
- Any content you submit, post, or share in connection with the Service
- Any false or misleading representations you make about Nutré or its products
11. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to active members or through prominent notice on the Site. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. Any dispute arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Essex County, Massachusetts, and you consent to the personal jurisdiction of such courts.
13. Miscellaneous
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
Entire Agreement: These Terms, together with the Affiliate Agreement and Privacy Policy, constitute the entire agreement between you and Nutré regarding the Service.
